Terms of Service — PowaAgent

Party

PowaAgent is a trading name of CertainData Ltd, a company registered in England & Wales under company number 17354647 (official name: CERTAIN DATA LTD), whose registered office is at Venture House, 2 Arlington Square, Downshire Way, Bracknell, Berkshire, RG12 1WA.

By using PowaAgent you agree to these Terms.

1. Service

PowaAgent extends your AI agent with governed access to the wider data-and-services ecosystem. You fund your account, define what your agent can spend on, and PowaAgent handles the payment signing on your behalf under a revocable authorisation.

2. Accounts

PowaAgent may be used by individuals and by users acting for a business or organisation. You must be at least 18 years old to use PowaAgent. You must provide accurate registration information, verify your email, and enable multi-factor authentication. You are responsible for all activity under your account and for the actions your AI agents take with your PowaAgent API key.

3. Acceptable use

Use of PowaAgent is subject to our Acceptable Use Policy.

4. Delegated Signing authorisation

By signing up, you authorise PowaAgent to sign payments on your behalf. This authorisation stays active until you revoke it from your dashboard. Revocation takes effect immediately for all future calls. You may export your wallet's recovery key at any time via Coinbase's secure key-export flow; PowaAgent never holds the private key in a form we can access.

5. Spending controls

Every paid call from your agent is evaluated by PowaAgent's spending controls before signing:

1. Deny list (blocked destinations refused).
2. Allow list with approval queue (unknown destinations surface in Pending Approvals).
3. Ecosystem toggles (Premium always-on; Standard and Open Ecosystem per your account setting).
4. Spending caps (per-transaction, daily, monthly — configurable in your dashboard).

Calls that fail any control are refused and logged.

6. Fees

PowaAgent does not charge a subscription or account fee at launch. Charges may nevertheless apply when your agent purchases data or services.

For purchases through the PowaHub catalog, the amount presented for the transaction may include a platform markup in addition to the seller's listed price. The total amount payable will be presented before the payment is authorised.

For Open Ecosystem purchases, PowaAgent does not currently add a platform fee and you pay the amount charged by the third-party seller.

We may introduce or change fees in the future. Where a change affects your use of PowaAgent, we will provide reasonable notice before the new fees apply.

7. Third-party services

PowaAgent interacts with services supplied by third parties, including wallet infrastructure, blockchain networks and third-party sellers.

Third-party services may be subject to their own terms, availability and technical limitations. PowaAgent does not control and is not responsible for the availability, content, data quality or performance of third-party services except to the extent required by applicable law.

When your agent purchases data or services from a third-party seller, the seller remains responsible for the data or service it supplies and any applicable licence terms.

8. Service availability and changes

We may modify, update, suspend or discontinue parts of PowaAgent where reasonably necessary for security, legal, regulatory, technical or operational reasons.

We do not guarantee that PowaAgent or any third-party service will always be available or uninterrupted.

9. Suspension and termination

We may suspend or restrict access to PowaAgent where we reasonably believe this is necessary to protect PowaAgent or its users, investigate suspected misuse, comply with law or regulatory requirements, enforce these Terms or the Acceptable Use Policy, or prevent fraud or security incidents.

You may stop using PowaAgent at any time. You may revoke Delegated Signing from your dashboard at any time. Revocation prevents PowaAgent from signing future payments on your behalf.

Provisions that by their nature should continue after termination, including liability, intellectual property, governing law and obligations relating to completed transactions, will continue to apply.

10. Disclaimers and liability

PowaAgent is provided on an "as available" basis. We do not guarantee that third-party data or services will be accurate, complete, current, uninterrupted or suitable for any particular purpose.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

Subject to applicable law, CertainData Ltd, as the operator of PowaAgent, will not be liable for indirect or consequential loss, or for loss of profits, revenue, business, opportunity or anticipated savings arising from use of PowaAgent.

Nothing in these Terms affects any statutory rights you may have as a consumer.

11. Intellectual property

CertainData Ltd, as the operator of PowaAgent, and its licensors retain all rights in PowaAgent, including its software, interfaces, documentation, branding and related intellectual property.

These Terms give you a limited, non-exclusive, non-transferable right to use PowaAgent for your personal or internal business purposes, as applicable, while your account remains active. They do not transfer ownership of PowaAgent or of any third-party data or services purchased through it.

Rights in purchased data remain subject to the applicable seller's licence.

12. Changes to these Terms

We may update these Terms where necessary to reflect changes to PowaAgent, law, regulation or our business practices. We will provide reasonable notice of material changes where appropriate. The current version will be published on this page.

13. Governing law

These Terms are governed by the laws of England & Wales. If you are a consumer, this does not affect any mandatory rights you may have under the laws of the country where you live.
